Charles Lewis

Charles Lewis is an Associate at Dentons' Calgary office, practising in the Corporate, Securities and Mergers and Acquisitions groups. His practice focuses on Capital Markets Law, including capital markets transactions, mergers and acquisitions, securities regulatory compliance and corporate governance matters.

His recent experience includes advising Mullen Group Ltd. on its CA$400 million private placement of senior secured notes due 2037, and advising Capital Power Corporation on its CA$517 million bought deal public offering of common shares and CA$150 million concurrent private placement to partially finance the acquisition of two flexible generation assets in PJM.

He has also advised Vermilion Energy on the acquisition of Westbrick Energy Ltd. for CA$1.075 billion via Plan of Arrangement, and Saturn Oil & Gas Inc. on its CA$525 million asset acquisition from Veren Inc. and debt recapitalization, including a $150 million reserves-based lending credit facility and a $100 million bought deal equity financing. He also acted for Certus Oil and Gas Inc. as target in respect of a non-exempt takeover bid by a public company acquiror.

He holds a JD from the University of Windsor, Faculty of Law, and a Bachelor of Science from the University of Calgary.
