Ora Wexler

Ora Wexler is a Partner in the Corporate group and National Leader of the Securities and Corporate Finance group, specializing in Capital Markets Law. She advises on public and private capital market transactions and securities regulatory matters, including stock exchange listings, corporate governance, continuous disclosure obligations, and other regulatory compliance matters. She acts on behalf of both underwriters and issuers in initial public offerings and subsequent private placement and public offerings.

Ora has significant experience in equity and debt capital markets transactions across a wide range of industries. Notable matters include advising The Westaim Corporation on a US$250 million strategic investment, advising the underwriters on Organigram Holdings Inc.'s CA$28.8 million offering, and advising Aya Gold & Silver Inc. on multiple public offerings totalling over CA$200 million. She also advised Sierra Metals Inc. on a US$95 million credit agreement and Ligado Networks LLC on US$3.85 billion in new capital raised for 5G telecommunications services. In M&A, she advised Livent Corporation on its US$10.6 billion merger of equals with Allkem Limited to create Arcadium Lithium plc. She also regularly advises on proxy contests, activist defence, and corporate governance matters.

She holds a J.D. from Queen's University (2007) and a B.A. in Economics, cum laude, from Brandeis University (2004). She was admitted to the Ontario Bar in 2008 and is a member of the Law Society of Ontario, the Canadian Bar Association, and the Ontario Bar Association.

She has been recognized in The Best Lawyers in Canada in Mining Law and Natural Resources Law, The Legal 500 Canada in Capital Markets and Corporate M&A, and the Canadian Legal Lexpert Directory. She was a recipient of the Lexpert Rising Stars Award: Leading Lawyers Under 40 (2021) and formerly served as a member of the Ontario Securities Commission Securities Advisory Committee.
