Riley Dearden

Riley Dearden is a Partner in the Corporate, Securities and Corporate Finance, and Mergers and Acquisitions groups at Dentons, based in the Calgary office, practicing in the firm's Mergers and Acquisitions practice. He focuses on corporate finance, mergers and acquisitions, securities offerings, and corporate reorganizations, advising both issuers and underwriters on equity and debt offerings and other capital markets transactions, as well as companies and private equity funds on a broad range of M&A and PE transactions.

Mr. Dearden has advised on numerous significant transactions, including acting for WindRiver Power Corporation on its acquisition by ReVolve Renewable Power Corp., advising Promising Expert Limited on its acquisition of Dynamic Technologies Group Inc. at a valuation of approximately US$20 million, advising Allentown, LLC on its acquisition of Northwestern Systems Corporation at a valuation of approximately CA$37 million, and acting for Ely Gold Royalties Inc. in its CA$300 million acquisition by Gold Royalty Corp. He also advised Rocky Mountain Dealerships Inc. on its CA$195 million go-private transaction, Shaw Communications Inc. on its CA$800 million dual-tranche note offering, and syndicates of underwriters led by Canaccord Genuity and Eight Capital on public offerings for WonderFi Technologies Inc. and Southern Energy Corp.

He holds a J.D. from the University of New Brunswick (2014) and a Bachelor of Commerce in International Business from the University of Calgary - Haskayne School of Business (2010). He has been recognized in The Best Lawyers in Canada - Ones to Watch in Corporate Law and Mergers and Acquisitions Law.
