Justin Morell

Justin Morell is an Associate in Dentons' Ottawa office, practising in the Corporate, Securities and Corporate Finance, and Venture Technology and Emerging Growth Companies groups, focusing on corporate and securities matters including venture capital investments and fund formations.

He works across the full venture capital lifecycle—from company incorporation and early-stage financing through to priced rounds and exits—and advises on the formation, operation and ongoing management of venture capital funds. Notable matters include advising Velocity Fund II on its formation as a venture capital fund spun out of the University of Waterloo's incubator; acting as corporate counsel to Layer2 Financial on its US$15 million Series A financing; advising Rail.io on its US$200 million acquisition by Ripple; and representing numerous high-growth technology companies across Canada on financings, M&A, corporate governance and strategic transactions.

Justin holds a J.D. from Queen's University (2023), a Masters of Public Policy and Administration (MPPA) from Carleton University (2020), and a B.A. from Carleton University (2018). He joined Dentons as a summer student in 2022 and completed his articles with the firm in 2023–2024.
