Valerie Cross

Valerie Cross is a Partner in the firm's nationally-recognized Banking and Finance and Restructuring, Insolvency and Bankruptcy groups, working out of Dentons' Toronto and Vancouver offices. She has extensive experience in commercial lending, acting predominantly for lenders in large-scale corporate finance transactions, including acquisition financings, construction loans, real estate financings, cross-border transactions, syndicated loans, and subordinated/mezzanine arrangements across a variety of industries including technology, media, retail, hospitality, real estate, mining, and forestry.

Ms. Cross has advised on numerous significant transactions, including acting as counsel to Bank of Montreal on Blue Ant Media Corporation's $89 million acquisition of Thunderbird Entertainment Group and its CA$155 million go-public reverse takeover transaction with Boat Rocker Media (Canadian Law Awards Mid-Market Deal of the Year 2026), advising on the CA$1 billion acquisition of Clearwater Seafoods by a joint venture of Premium Brands and several Mi'kmaq First Nations, and acting as counsel to FTI Consulting in the CCAA proceedings of Trevali Mining Corporation, achieving 100% recovery for a syndicate of lenders owed over CA$125 million. In her insolvency practice, she provides practical assistance on restructurings, forbearance arrangements, interim financing, and distressed asset purchases.

Valerie holds a J.D. from the University of British Columbia, an MJ from Carleton University, and a B.A. from the University of Calgary (Dean's List Honours). She previously served as judicial law clerk to Mr. Justice Tysoe and Mr. Justice Frankel of the Court of Appeal for British Columbia. She is a member of the Class XIII of the International Insolvency Institute's NextGen Leadership Program.
