Ann Chen

Ann Chen is an Associate in the Corporate group in Dentons' Toronto office. Her practice focuses on Mergers and Acquisitions, covering public and private M&A, venture capital and fund formation, capital markets and securities, and general corporate matters.

Ann joined Dentons as a summer student in 2021 and articled with the firm in 2023–2024. Prior to law school, she worked as a senior accountant and tax advisor at a global professional services firm, where she led engagements involving audits of complex transactions including consolidations, asset purchases and business reorganisations, and advised on tax matters including capital asset reviews and SR&ED claims. She brings this business and financial expertise to her practice, offering practical, solutions-oriented advice to clients on complex corporate issues.

Her experience includes advising Origin Merchant Partners, Canada's largest independent boutique investment bank, in its acquisition of Consensus; advising the Special Committee of the Board of Directors of Kneat on the acquisition of Kneat by Thoma Bravo by way of a Canadian plan of arrangement in a transaction valued at approximately CA$650 million; advising StackAdapt on its US$235 million financing led by Teachers' Venture Growth; advising Mattr Corp. on its acquisition of AmerCable Incorporated; advising Chengtun Mining Group on a CA$260 million acquisition of Loncor Gold; advising Synex Renewable Energy Corporation on its sale to Sitka Power Inc.; acting on the formation of a CA$15 million venture capital fund; advising TrojAI Inc. on its acquisition by A10 Networks; and advising Composer Technologies on its acquisition by SoFi.

She holds a CPA designation and is a member of the Chartered Professional Accountants of Ontario (2019). She holds a Juris Doctor from Osgoode Hall Law School (2023) and a Bachelor of Commerce from Dalhousie University (2017).
