Heather A. Barnhouse, KC

Heather A. Barnhouse, KC is a Partner at Dentons Canada, practicing in the Corporate group. She is Co-Leader of the Venture Technology and Emerging Growth Companies group in Edmonton and National Co-Leader of the Agribusiness group, specializing in Mergers and Acquisitions. She is also a member of the Dentons Canada Region Board.

Heather advises clients from inception to exit, drafting and negotiating technology‑related and corporate/commercial agreements, and providing guidance on financing, succession, and M&A transactions. Her diverse clientele includes technology startups, healthcare innovators, oil and gas companies, and family‑owned businesses. Notable matters include advising Matrikon Inc. on its US$139 million acquisition by Honeywell International; advising Afexa Life Sciences Inc. on takeover bids; advising Navacord Inc. on a complex reorganization and leveraged recapitalization; acting as lead counsel on the sale of shares of Alpha Translations Inc. to RWS; and advising Bitcoin Well Inc. on a reverse takeover to list on the TSX‑V. She also advises on franchising, software licensing, clinical trial agreements, and cross‑border technology transactions.

Heather holds an LL.B (with Distinction), an M.B.A. with a specialization in Technology Commercialization, and a B.Sc. from the University of Alberta, and completed the Harvard Negotiation Workshop for Lawyers and Executives. She was admitted to the Alberta Bar in 2005, the New York Bar in 2007, and the British Columbia Bar in 2024. She was appointed King's Counsel (KC) in recognition of her professional excellence.
