Mariam Momodu

Mariam Momodu is a Senior Associate in the Corporate group at Dentons in Toronto, specializing in mergers and acquisitions, venture capital transactions, and complex commercial transactions. She advises on transactions across the full corporate lifecycle, from formation and growth-stage financings to strategic acquisitions and exits. As a dual-qualified lawyer, she is regularly engaged on cross-border and multijurisdictional matters in both developed and emerging markets, with a particular focus on the technology, life sciences, infrastructure, and utilities sectors.

Her practice combines corporate transactional work with commercial advisory matters, including high-value commercial arrangements such as software licensing, outsourcing, master services, EPC, supply, and distribution agreements, often in the context of complex transactions, regulated businesses, and enterprise transformations. She brings meaningful in-house experience from leading utilities and telecommunications companies, which informs a practical and commercially grounded approach to client advice. She also regularly advises boards and management teams on corporate governance, shareholder and stakeholder matters, and ongoing compliance considerations.

She has advised on significant transactions including Unitil Corporation's US$55.8 million acquisition of Aquarion Water Company of New Hampshire and Abenaki Water Co.; Motorola Solutions' acquisitions of Noggin, Theatro Labs, and RapidDeploy; and Chorus Aviation Inc.'s corporate restructuring following its CA$855 million acquisition of Falko Regional Aircraft Limited. She has also advised on venture capital transactions for health-tech, fintech, and AI-driven companies, as well as commercial arrangements for Toronto Hydro and other major clients.

She holds an LL.B with first class honours from the University of Ibadan (2012), a B.L. from the Nigerian Law School (2013), an LL.M. in Commercial Law from the University of Cambridge (2015), and an S.J.D. from the University of Toronto (2024). She is a member of the Ontario Bar Association, the Canadian Association of Black Lawyers, and the Nigerian Bar Association, and has served as an Adjunct Lecturer at the Rotman School of Business, University of Toronto.
