Andrea Johnson

Andrea Johnson is the National Corporate Group Leader at Dentons, specializing in Mergers and Acquisitions. She brings business acumen and clarity to complex M&A and financing transactions in the technology sector, with two decades of experience leading acquisitions of private targets for PE and strategic buyers, take‑privates, public M&A transactions, IPOs, and some of the largest VC transactions in Canada.

Andrea has advised on numerous significant transactions, including advising Absorb Software Inc. on its CA$59 million growth equity investment and subsequent sale at a greater than US$500 million enterprise value; advising Auvik Networks Inc. on a US$250 million investment from Great Hill Partners; advising Calian Group Ltd. on a bought deal public offering raising gross proceeds of CA$69 million; advising Bridgewater Systems on its CA$211 million acquisition by Amdocs; and advising Patheon Inc. on its US$2.6 billion going‑private transaction. She also advised Sandvine Corporation on its CA$562 million acquisition, Index Ventures on a US$40 million Series A round for Cohere, and Fullscript on its CA$300 million equity financing from HGGC and Snapdragon Capital Partners.

Andrea holds an LL.B from Dalhousie University, where she was a Law Foundation Scholar, and a B.A. (Hons.) from Carleton University, where she was a Senate Medalist. She is admitted to practice in Ontario and has served on advisory committees for the Ontario Securities Commission, the Toronto Stock Exchange, and the Ontario Government on business law modernization. She has served on Dentons' Global Board and Canada Region Board, and currently serves on the board of Wise Payments Canada Inc.

Andrea has been consistently recognised in Chambers Canada (Start‑ups & Emerging Companies), The Legal 500 Canada (Corporate and M&A), and The Best Lawyers in Canada in Corporate Law, Securities Law, Technology Law, Mergers and Acquisitions Law, and Venture Capital Law. She has been named "Lawyer of the Year" for Technology Law and Corporate Law in Ottawa, and was a recipient of the Lexpert Rising Stars: Leading Lawyers Under 40 award (2010).
