Sean Del Giallo

Sean Del Giallo is a Partner and lead of the Dentons Ottawa Corporate group, specialising in Mergers and Acquisitions. He is also a member of the Corporate, Securities and Venture Technology and Emerging Growth Companies groups, and serves as Ottawa leader of the National Securities and Corporate Finance group.

Sean's practice focuses primarily on corporate law, financings and mergers and acquisitions in the technology sector, advising high-growth emerging technology companies, venture capital funds, investors and founders on corporate governance, venture capital transactions and private placements. As a valued member of the Dentons Canada Startup program, he advises Canadian entrepreneurs through all stages of the corporate growth cycle, from formation to exit, and works with many of Canada's leading technology accelerators and venture capital firms.

Sean has advised on numerous significant transactions, including acting as company counsel to FigBytes Inc. on its acquisition to Advanced Manufacturing Control Systems, advising Miovision Technologies Incorporated on its US$107 million strategic acquisition of Vontier Corporation, acting for Lightship Security, Inc. on its acquisition to Applus, and advising Dapasoft Inc. on its acquisition to Calian Group Ltd. for up to CA$83 million. He also advised Renewi plc on the sale of its Canadian operations to Convent Capital for an enterprise value of up to CA$107.5 million.

Sean holds a J.D. from the University of Western Ontario (2015) and a B.A. from Ryerson University (2012). He is recognised by The Legal 500 Canada for Artificial Intelligence and Technology, and in The Best Lawyers in Canada: Ones to Watch for Mergers and Acquisitions Law.
